A Memorandum of Understanding (MOU), can be an exceptionally valuable tool when wanting to enter into meaningful business conversations with a potential business partner. If you are seriously invested in same partner, but still want some time to conduct due diligence and have meaningful conversations before you commit, and MOU may be what you're looking for! In this video, Graphene's key lawyer discusses important clauses we often see in an MOU. These clauses include: the parties and purpose of the MOU, good faith clauses, and due diligence clauses. Timing, key provisions, expenses and confidentiality clauses, are also among the clauses we most commonly see in an MOU. In this video, we expand on what each of these clauses means, and could represent for your business interests.

While an MOU need not be a legally-binding agreement, it is still an important legal document that should not be entered into lightly. If you are looking to enter into an MOU, or being asked to enter into one, Graphene can help protect your business interests!
